The Competition Commission, in its meeting on 05.07.2023, considered the case for imposing a fine on the companies AGNA SHA, INFO-TELECOM LLC and TIRANA INTERNATIONAL DEVELOPMENT LLC, for not notifying within the deadline of the concentration carried out for the benefit of joint control of the company AMB CONSTRUCTION LLC.
Based on Article 12, point 2 of Law no. 9121, dated 23.07.2023 “On the Protection of Competition”, a concentration must be notified to the Competition Authority within 30 days of the conclusion of the agreement.
For non-compliance with the deadline specified in Article 12, point 2 of the law, based on Article 73, point 1, letter dh) of the law no. 9121, dated 23.07.2023 “On the Protection of Competition”, the Competition Commission imposes a fine for a minor violation in the amount of no more than 1% of the total turnover of the preceding financial year, on enterprises or groups of enterprises, which in this case will be divided between the above three companies, in proportion to the percentage of the capital quota in the target company, AMB Construction LLC.
For these reasons, the Competition Commission with decision no. 996, dated 05.07.2023 decided:
- For failure to notify within the deadline of the concentration realized through the benefit of the joint control of the company AMB CONSTRUCTION LLC by the companies AGNA SHA, INFO-Telecom LLC and TIRANA INTERNATIONAL DEVELOPMENT LLC imposing a fine on:
- a) AGNA SHA Company, in the amount of 20,000,000 (twenty million) ALL;
- b) INFO-Telekom LLC in the amount of 20,000,000 (twenty million) ALL;
- c) TIRANA INTERNATIONAL DEVELOPMENT LLC in the amount of 10,000,000 (ten million) ALL.
