In the context of increasing transparency and awareness of businesses on their legal obligations, the Competition Authority, in cooperation with the National Business Center, has taken an important step towards facilitating procedures and strengthening the culture of competition in the market.
Thanks to this cooperation, any entity applying to the Commercial Register for transactions involving the transfer of shares or mergers by absorption is now preliminarily informed, via the NBC website, about the obligations and administrative sanctions arising from Law No. 9121, dated 28 July 2003, “On the Protection of Competition”. Businesses are now given the opportunity, prior to registration with the NBC, to verify whether the transaction they intend to carry out is compliant with Law No. 9121 “On the Protection of Competition”.
This new mechanism ensures that businesses are clearly informed and fully aware of merger control procedures, helping to avoid legal uncertainty and to enhance compliance with market rules.
